Terms and Conditions

These terms govern access to and use of ROKR websites, applications, APIs, and related services. Last updated June 30, 2026.

1. Agreement to These Terms

These Terms and Conditions govern access to and use of the ROKR websites, applications, APIs, and related services. By creating an account, accessing the service, or using ROKR on behalf of an organization, you agree to these terms.

If you use ROKR for an organization, you represent that you have authority to bind that organization. If you do not agree to these terms, do not use the service.

2. The Service

ROKR provides OKR management and goal alignment tools. We may update, improve, suspend, or modify features from time to time, provided that we do not materially reduce the core functionality of a paid subscription during its then-current term without reasonable notice.

Beta, preview, or experimental features may be changed or discontinued at any time and may be subject to additional terms.

3. Accounts and Administrators

You must provide accurate account information and keep it current. You are responsible for safeguarding credentials, maintaining appropriate access controls, and all activity under your account or workspace.

Workspace administrators may manage users, permissions, settings, billing, and customer content. ROKR may rely on administrator instructions as authorized by the customer.

4. Customer Content

Customers and users retain ownership of objectives, key results, check-ins, comments, attachments, and other content submitted to ROKR. You grant ROKR a limited right to host, process, transmit, display, and use customer content only as needed to provide, secure, support, maintain, and improve the service and as otherwise permitted by these terms.

You are responsible for customer content and for ensuring that you have the rights and permissions needed to submit it to ROKR.

5. Acceptable Use

You may use ROKR only in compliance with applicable law, these terms, our documentation, and any applicable order or subscription terms.

You may not misuse the service, attempt unauthorized access, interfere with service integrity or performance, probe or test systems without authorization, upload malicious code, violate others' rights, use the service to process unlawful or highly sensitive data without our prior written agreement, or reverse engineer the service except where law prohibits that restriction.

6. Subscriptions, Fees, and Taxes

Paid subscriptions are billed according to the plan, order, or checkout flow you accept. Fees are non-refundable except as required by law or expressly stated in a written agreement.

You authorize ROKR and its payment processors to charge applicable fees and taxes. You are responsible for taxes other than taxes based on ROKR income. We may suspend or downgrade access for overdue amounts after reasonable notice.

7. Confidentiality

Each party may receive confidential information from the other. The receiving party will use confidential information only to perform under these terms, protect it using reasonable care, and disclose it only to personnel, service providers, advisors, or legal authorities with a legitimate need to know.

Confidential information does not include information that is public without breach, already known without restriction, independently developed, or rightfully received from another source.

8. Intellectual Property

ROKR and its licensors retain all rights, title, and interest in the service, software, designs, documentation, trademarks, and related technology. Except for the rights expressly granted, no license or ownership interest is transferred.

If you provide feedback or suggestions, ROKR may use them without restriction or obligation to you.

9. Third-Party Services

ROKR also engages third-party service providers to operate, secure, monitor, support, bill, and deliver the service, including cloud hosting, error monitoring (such as Sentry), authentication, and payment processing. These providers process information on ROKR’s behalf only as needed to perform their services and under obligations designed to protect that information. Their respective terms and privacy policies govern their handling of any data they receive.

10. Service Availability and Support

We work to keep ROKR reliable and available, but the service may be interrupted by maintenance, upgrades, outages, security issues, or events outside our control. Support availability may depend on your plan or written agreement.

11. Suspension and Termination

You may stop using ROKR at any time. Either party may terminate a subscription as allowed by the applicable plan, order, or written agreement.

ROKR may suspend or terminate access if you materially breach these terms, fail to pay fees, create security or legal risk, misuse the service, or if continued access could harm ROKR, users, customers, or third parties. Where practical, we will provide notice and an opportunity to cure.

12. Disclaimers

Except as expressly stated in these terms or a written agreement, ROKR is provided "as is" and "as available." To the maximum extent permitted by law, ROKR disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

ROKR does not warrant that the service will be uninterrupted, error-free, or meet every business requirement.

13. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, even if advised of the possibility.

To the maximum extent permitted by law, each party's aggregate liability arising out of or related to the service is limited to the amounts paid or payable to ROKR for the service during the twelve months before the event giving rise to liability. These limits do not apply to payment obligations, misuse of intellectual property, confidentiality violations, or liability that cannot legally be limited.

14. Indemnification

You will defend and indemnify ROKR against third-party claims arising from customer content, your misuse of the service, or your violation of law or these terms. ROKR will defend and indemnify you against third-party claims alleging that the service, when used as authorized, infringes a third party's intellectual property rights, subject to standard exclusions for customer content, unauthorized modifications, or combination with non-ROKR products.

15. Changes to These Terms

We may update these terms from time to time. If changes are material, we will provide notice through the service, by email, or by another reasonable method. Changes are effective when posted unless a later date is stated. Continued use after the effective date means you accept the updated terms.

16. Governing Law

Unless a written agreement states otherwise, these terms are governed by the laws of the jurisdiction where ROKR's contracting entity is organized, without regard to conflict-of-law rules. Either party may seek injunctive relief in any court of competent jurisdiction.
